Item 8.01   Other Events.
     On April 15, 2011, MoneyGram International, Inc. issued a press release announcing the completion of the syndication process for its new $540 million senior secured credit facility consisting of a $150 million, five year revolving credit facility and a $390 million, 6.5 year term loan. A copy of the press release is attached as Exhibit 99.1 and is incorporated by reference into this Item 8.01.
