ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On July 27, 2005, Helmerich & Payne, Inc. (“Registrant”) issued a press release announcing its
financial results for its third quarter ended June 30, 2005. A copy of the press release is
attached as Exhibit 99 to this Report on Form 8-K. This information is being furnished pursuant to
