ITEM 5.02		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers

Lonnie J. Lowry has been appointed by Panhandle Oil and Gas Inc.’s board of directors as Vice President, Chief Financial Officer and Secretary of the Company. Mr. Lowry has been employed by Panhandle Oil and Gas Inc. since 2001 and previously held the title of Vice President, Controller and Secretary.
