Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard;
Transfer of Listing.
On April 1, 2009, PlanetOut Inc. (“PlanetOut”) received a notice from the Nasdaq Listing
Qualifications Department of The Nasdaq Stock Market approving PlanetOut’s application to transfer
its securities from The Nasdaq Global Market to The Nasdaq Capital Market. PlanetOut’s securities,
which will continue to trade under the symbol “LGBT,” will be transferred to The Nasdaq Capital
Market at the opening of business on Friday, April 3, 2009.
