On October 26, 2006, Rurban Financial Corp. (the “Company”) issued a news release announcing
that its Board of Directors has declared a third quarter 2006 dividend of $0.06 per share payable
on November 17, 2006 to all shareholders of record on November 6, 2006. A copy of the October 26,
2006 news release is furnished as Exhibit 99.1 and is incorporated herein by reference.
