Item 8.01.  Other Events.

Terex Corporation (the “Company”) issued a press release on February 4, 2010, announcing that it will be releasing its fourth quarter and year-end 2009 financial results on Wednesday, February 17, 2010, after the close of the market.  The Company also announced that it will host a conference call on Thursday, February 18, 2010 at 8:30 a.m., Eastern Time, to review the Company’s fourth quarter and year-end 2009 financial results.  A simultaneous webcast of the teleconference and a replay of the teleconference will be accessible to the public at www.terex.com.

A copy of this press release is included as Exhibit 99.1 to this Form 8-K.
