Item 8.01           Other Events.

On January 28, 2010 the Registrant issued a press release announcing that it will record a $7.4 million non-cash impairment charge during the fourth quarter of 2009 to write-off all of the goodwill recorded from two prior acquisitions.  The determination of the impairment charge followed the Registrant’s annual third-party review of goodwill and was made in connection with the preparation of the Registrant’s financial statements to be included in its Annual Report on Form 10-K for the fiscal year ended December 31, 2009.  A copy of the press release is being furnished as an exhibit to this report and is incorporated by reference into this Item 8.01.
