Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. |
The Board of Directors of Kingstone Companies, Inc. (the “Company”) approved an amendment to Section 2 of Article II of the Company’s By-laws (the "By-laws"), effective as of November 5, 2009, to relate the advance notification provisions for stockholder proposals to the new Internet access provisions of the proxy rules.
The full text of the By-laws, as amended, is filed as Exhibit 3.1 to this Current Report, and amended Section 2 of Article II thereof is incorporated herein by reference.
