        This Amendment No. 8 amends and supplements the Tender Offer Statement on Schedule TO originally filed with the Securities and Exchange Commission (the "Commission") on April 18, 2005, as amended and supplemented by Amendment No. 1 to the Tender Offer Statement filed with the Commission on April 26, 2005, Amendment No. 2 to the Tender Offer Statement filed with the Commission on April 27, 2005, Amendment No. 3 to the Tender Offer Statement filed with the Commission on April 28, 2005, Amendment No. 4 to the Tender Offer Statement filed with the Commission on April 29, 2005, Amendment No. 5 to the Tender Offer Statement filed with the Commission on May 3, 2005, Amendment No. 6 to the Tender Offer Statement filed with the Commission on May 6, 2005 and Amendment No. 7 to the Tender Offer Statement filed with the Commission on May 10, 2005 (the "Schedule TO"), by Kerr-McGee Corporation, a Delaware corporation ("Kerr-McGee" or the "Company"), relating to the offer by the Company to purchase up to 43,500,000 shares of its common stock, par value $1.00 per share (the "Shares"), or such lesser number of Shares as is properly tendered and not properly withdrawn, at a price not greater than $92.00 nor less than $85.00 per Share, net to the seller in cash, without interest, on the terms and subject to the conditions set forth in the Offer to Purchase, dated April 18, 2005, as amended and supplemented by the Supplement, dated May 2, 2005, and in the related Letter of Transmittal, as amended and restated by the Amended Letter of Transmittal (which together, as further amended or supplemented from time to time, constitute the "Offer"). This Amendment No. 8 is intended to satisfy the reporting requirements of Rule 13e-4(c)(3) of the Securities Exchange Act of 1934, as amended. Copies of the Offer to Purchase and the related Letter of Transmittal were previously filed with the Schedule TO as Exhibits (a)(1)(i) and (a)(1)(ii), respectively and the Supplement and the related Amended Letter of Transmittal were previously filed with the Schedule TO as Exhibits (a)(1)(x) and (a)(1)(xi), respectively.

        The information contained in the Offer is incorporated in this Amendment No. 8 to the Schedule TO by reference in response to all of the applicable items in the Schedule TO, except that such information is hereby amended and supplemented to the extent specifically provided herein.

Item 11. Additional Information.

        Item 11 of the Schedule TO entitled "Additional Information," which incorporates by reference the information set forth in Section 12 entitled "Legal Matters; Regulatory Approvals" of the Offer to Purchase, a copy of which was filed with the original Schedule TO as Exhibit (a)(1)(i), as amended and supplemented by the Supplement to the Offer to Purchase, a copy of which was filed with Amendment No. 5 to Schedule TO as Exhibit (a)(1)(x), is hereby amended as follows:

        Section 12 entitled "Legal Matters; Regulatory Approvals" is hereby amended and restated in its entirety by replacing the third paragraph in Section 12 on page 47 of the Offer to Purchase with the following:

        On May 16, 2005, the Company received a shareholder demand to inspect books and records of the Company under Section 220 of the Delaware General Corporation Law (the "Demand"). According to the Demand, the shareholder wants to investigate whether there has or have been "possible mismanagement and/or breaches of fiduciary duties by the Company's Board of Directors in connection with the facts, transactions, and circumstances surrounding" the attempted nomination of Carl C. Icahn and Barry Rosenstein for election as directors at the Company's 2005 annual meeting, the related proxy contest and litigation, divestiture of the Company's chemical business, and the tender offer. The Company intends to refuse the Demand because there is nothing in the Demand to support any inference of mismanagement or breach of fiduciary duties. The Company believes that the Board's decisions concerning the matters referred to in the Demand were the result of the Board's proper exercise of its business judgment.
