Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 3, 2014, Yaroslava Makalskaya resigned as Chief Accounting Officer of Contango Oil & Gas Company (the “Company”) to pursue other opportunities. Ms. Makalskaya’s resignation was not due to any disagreements with the Company on any matter relating to the Company's operations, policies, practices or otherwise. The Company has initiated a search to fill this role.
