Item 5.02   Departure of Directors or Principal Officers; Election of Directors; Appointment of

      Principal Officers.


On March 26, 2007, Mr. Roland Lam, Chief Financial Officer of the Company resigned from his position.  Mr. Lam stated personal reasons for his resignation.


The Company anticipates appointing a new Chief Financial Officer in the near future.
