Item 8.01.  Regulation FD Disclosure.

 

On May 29, 2008, Force Protection, Inc. received a letter from the Nasdaq Hearings Panel granting our request for continued listing on the Nasdaq Stock Market until September 15, 2008, subject to certain conditions.  These conditions include, without limitation, that on or before September 15, 2008 we shall file with the SEC our Form 10-K for the fiscal year ended December 31, 2007, the Form 10-Q for the fiscal quarter ended March 31, 2008 and any required restatements.

 

Attached to this Current Report on Form 8-K as Exhibit 99.1 and incorporated herein by reference is a copy of the press release announcing the Nasdaq Hearings Panel determination.
