Item 5.02.              Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On June 10, 2008, Morris B. Smith notified Cano Petroleum, Inc (the “Corporation”) of his decision to retire as Chief Financial Officer of the Corporation upon the appointment of a suitable replacement.  Mr. Smith intends to remain as Senior Vice President of the Corporation for an indefinite period of time after a suitable replacement is found.  Mr. Smith’s decision to retire does not reflect any disagreement with the Corporation on matters relating to its operations, policies, and practices. The Corporation will make a separate announcement when Mr. Smith actually retires.
