Item 2.03.                                 Creation of a Direct Financial Obligation or an Obligation Under an Off-Balance Sheet Arrangement of the Registrant

 

On March 17, 2009, Cano Petroleum, Inc. (“Cano”) borrowed $15 million under its Subordinated Credit Agreement with UnionBanCal Equities, Inc.  The borrowings were used to reduce the existing borrowings under Cano’s Amended and Restated Credit Agreement (“ARCA”) with Union Bank North America and Natixis as Lenders.  On March 23, 2009, borrowings under the ARCA were $27.1 million.  While Cano has completed its dedicated capital expenditure program for its 2009 fiscal year, Cano expects some maintenance capital to be spent for the remainder of such fiscal year.
