Item 1.01.     Entry Into A Material Definitive Agreement.

 

On March 8, 2010, Force Protection, Inc. (“Force Protection”) was awarded through its wholly-owned subsidiary, Force Protection Industires, Inc., a contract modification under its contract M67854-07-D-5031 with the U.S. Marine Corps Systems Command to extend the performance of 216 field representatives and associated support for the Independent Suspension System installations on the Mine Resistant Ambush Protocted (“MRAP”) Cougar vehicles at the MRAP Sustainment Facility in Kuwait. The contract modification has a value not to exceed $26.1 million. The award was made pursuant to a contract between Force Protection Industries, Inc. and U.S. Marine Corps Systems Command dated January 25, 2007 for the testing, production and sustainability for its MRAP vehicle program.

On March 11, 2010, Force Protection issued a press release announcing the March 8, 2010 contract modification from the U.S. Marine Corps System Command.  A copy of the press release issued on March 11, 2010 is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
