(b)                                 On April 29, 2010, Patrick McKinney notified Cano Petroleum, Inc. (the “Company”) of his resignation from his position as the Senior Vice President of Engineering and Operations of the Company.  Mr. McKinney’s resignation will take effect on May 31, 2010.

 

Attached hereto as Exhibit 99.1 is a press release issued by the Company on April 30, 2010, announcing Mr. McKinney’s resignation (the “Press Release”).  The Press Release is incorporated herein by reference.

This communication is being made in respect of the proposed business combination involving Resaca and Cano.
