Item 1.01.     Entry Into A Material Definitive Agreement.

 

On June 4, 2010, Force Protection, Inc. (“Force Protection”) was awarded through its wholly-owned subsidiary, Force Protection Industries, Inc., a contract modification under its contract M67854-07-D-5031 with the U.S. Marine Corps Systems Command for additional modernization of the U.S. military’s Mine Resistant Ambush Protected (“MRAP”) Cougar vehicles.  The approximate $46.1 million firm, fixed price contract modification provides for the purchase of 2,451 enhanced Automated Fire Extinguishing Systems.  Deliveries are scheduled to begin in July 2010 and be completed by February 2011.  The award was made pursuant to a contract between Force Protection Industries, Inc. and U.S. Marine Corps Systems Command dated January 25, 2007 for the testing, production and sustainability for its MRAP vehicle program.

 

Item 8.01.     Other Events.

 

On June 7, 2010, Force Protection issued a press release announcing the June 4, 2010 contract modification from the U.S. Marine Corps System Command.  A copy of the press release issued on June 7, 2010 is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
