Item 1.01.    Entry into a Material Definitive Agreement
 
On January 23, 2008, Choice Hotels International, Inc. (the "Company") entered into an Amendment to the Amended and Restated Employment Agreement with Thomas Mirgon ("Amendment"), the Company's Senior Vice President Administration. The Amendment includes the following: (i) modification of the definitions of "Cause" and "Change in Control"; (ii) modification of the term to an indefinite term; (iii) addition of confidentiality, non-solicitation and non-competition restrictions; (iv) establishment of an 18 month "Severance Benefit Period"; (v)specification of the benefits due during the Severance Benefit Period; and (vi)modification of the Change in Control provisions to provide a severance compensation payment equal to 200% of a base salary and bonus if terminated following a Change in Control.

The foregoing description of the Amendment is not complete and is qualified in its entirety by reference to the Amendment, attached hereto as Exhibit 10.1 and incorporated herein by reference.
