Item 2.02. Results of Operations and Financial Condition
On April 15, 2005, A. O. Smith Corporation (“the Company”) issued a news release announcing the Company’s results for the quarter ended March 31, 2005. A copy of the Company’s news release is attached as Exhibit 99 to this Current Report on Form 8-K (this “Current Report”) and is incorporated by reference herein.
Item 2.05. Costs Associated with Exit or Disposal Activities
On April 13, 2005, the Company decided to close its Bray, Ireland, plant which manufactures hermetic motors for commercial air conditioning and refrigeration equipment by the end of the second quarter and to accelerate its planned product repositioning programs at several of its U.S. motor operations. Restructuring costs will approximate $11.5 million on a pre-tax basis and $10.5 million after tax. On April 15, 2005, the Company issued a news release which is attached as Exhibit 99 to this Current Report on Form 8-K and is incorporated by reference herein.
