Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers

On June 5, 2007, Gary Burnison was elected to the Board of Directors (the “Board”) of Korn/Ferry International (the “Company”). Mr. Burnison was elected by the members of the Board pursuant to the provisions of his Employment Agreement with the Company dated as of April 24, 2007. Mr. Burnison was not appointed to any committees of the Board in connection with his election.

Mr. Burnison has been Executive Vice President and Chief Financial Officer since March 2002, and was appointed Chief Operating Officer in November 2003. Prior to joining Korn/Ferry International, Mr. Burnison was Principal and Chief Financial Officer of Guidance Solutions, a privately held consulting firm, from 1999 to 2001. Prior to that, he served as an executive officer and a member of the board of directors of Jefferies and Company, an investment bank and brokerage firm, from 1995 to 1999. Earlier, Mr. Burnison was a partner at KPMG Peat Marwick.
