Item 5.03 Amendment to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On November 17, 2009, the Board of Directors of Public Service Enterprise Group Incorporated (PSEG) approved, effective on that date, amendments to the By-Laws of PSEG to adopt a majority vote standard for the election of directors in uncontested elections.
