ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On January 14, 2015, Tenneco Inc. appointed John E. Kunz, currently the company’s Vice President, Treasurer and Tax, to become the company’s Vice President and Controller effective March 1, 2015. Mr. Kunz, 50, will serve as the company’s principal accounting officer with responsibility for the company’s corporate accounting and financial reporting globally. Mr. Kunz has been Vice President, Treasurer and Tax since 2006, having joined Tenneco in 2004 as Vice President, Treasurer. Paul D. Novas, the company’s current Vice President and Controller, will become Vice President, Finance effective March 1, 2015, responsible for the treasury and tax departments and business development.
