Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 15, 2018, Manitex International, Inc. (the “Company”) appointed Laura R. Yu as Vice President Finance and Corporate Controller of the Company, effective as of such date. Ms. Yu will serve as the principal financial officer and principal accounting officer of the Company.

Prior to joining the Company, Ms. Yu, 47, worked for Tenneco Inc., a publicly-traded global manufacturer of clean air and ride performance products and systems for the automotive, commercial truck, off-highway markets and the aftermarket, where she served as Director, Corporate Finance from May 2016 to May 2018 and Senior Manager, Corporate Finance from February 2013 to April 2016. Previously, she was employed with Filtran LLC, a leading provider of filtration solutions, as Controller from January 2010 to February 2013 and Division Finance Manager from August 2006 to December 2009.

There are no arrangements or understandings required to be disclosed pursuant to Item 401(b) of Regulation S-K or family relationships required to be disclosed pursuant to Item 401(d) of Regulation S-K. Similarly, there are no transactions with related persons required to be disclosed pursuant to Item 404(a) of Regulation S-K involving Ms. Yu.
