On September 1, 2015, Westport Innovations Inc. (the “Company”) announced it had entered into an Agreement and Plan of Merger, subsequently amended on March 6, 2016, by and among the Company, Whitehorse Merger Sub Inc., a wholly owned subsidiary of the Company (“Merger Sub”) and Fuel Systems Solutions, Inc. (“Fuel Systems”), pursuant to which the Company and Fuel Systems will combine their businesses through the merger of Merger Sub with and into Fuel Systems (the “Merger”), with Fuel Systems thereupon becoming a wholly owned subsidiary of the Company. This Report on Form 6-K is incorporated by reference into the Company’s Registration Statement on Form F-4 (No. 333-207523) originally filed on October 20, 2015 in respect of the Merger.
