ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On May 18, 2005, the U.S. Department of Defense provided us with a delivery order for 17 Cougar Joint Explosive Ordinance Disposal Rapid Response Vehicles. The value of the delivery order is not to exceed $16,549,582. The delivery order was pursuant to a procurement contract dated May 13, 2005. As of May 19, 2005, the Department of Defense has ordered 88 of the approximately 120 Cougar vehicles subject to the procurement contract.
