On January 26, 2009, Allegiant Travel Company (the "Company") issued the press release attached as Exhibit 99.1 to this Form 8-K concerning our results of operations for the quarter and year ended December 31, 2008.

Item 8.01 Other Events.

On January 26, 2009, the Company announced a stock repurchase program under which the Company is authorized to repurchase up to $25,000,000 of stock in open market purchases over a 12-month period. This stock repurchase program replaces the previously approved program which would have otherwise expired. Purchases under the program may be executed in the Company’s discretion and whether purchases will be made and the number of shares to be repurchased at any time will depend on market conditions at the time and other factors.
