Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 27, 2010, the Board of Directors of Johnson Controls, Inc. (the Company), took action to designate R. Bruce McDonald, age 49, as the Company’s Principal Accounting Officer in replacement of Ms. Susan M. Kreh, who assumed the role of vice president of finance for the Power Solutions business unit of the Company. Ms. Kreh, age 47, was elected a Vice President and the Corporate Controller of the Company on March 21, 2007. She continues to serve as a Vice President of the Company. The Corporate Controller position is presently vacant. In addition to assuming the role of Principal Accounting Officer, Mr. McDonald continues to serve as the Company’s Executive Vice President, Chief Financial Officer and Principal Financial Officer.
