Item 1.01. Entry into a Material Definitive Agreement.

The disclosure contained in Item 2.032 of this Current Report on Form 8-K is incorporated by reference into this Item 1.01.

Item 2.03.   Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On December 22, 2017, a wholly-owned subsidiary of OPKO Health, Inc. (the “Company”), Bio-Reference Laboratories, Inc., a New Jersey corporation (“BRLI”), and certain of its subsidiaries entered into Amendment No. 6 to Credit Agreement (the “Amendment”), which amends that certain Credit Agreement dated as of November 5, 2015 (as amended, the “Credit Agreement”) by and among BRLI, certain of its subsidiaries from time to time party thereto, the lenders from time to time party thereto and JPMorgan Chase Bank, N.A., as administrative agent for the lenders, to permit BRLI and its subsidiaries to dividend cash to the Company in the form of intercompany loans, in an aggregate amount not to exceed $45,000,000. The other terms of the Credit Agreement remain unchanged.

The foregoing descriptions of the Credit Agreement and the Amendment are only summaries and are qualified in their entirety by references to the terms of the Credit Agreement and the Amendment. A copy of the Credit Agreement is attached to this Current Report on Form 8-K as Exhibit 10.1 and incorporated herein by reference. The Amendment will be filed with the Company’s Annual Report on Form 10-K.
