The Company is unable to file its annual report on Form 10-K for the period ended March 31, 2011 (the “Annual Report”) by the prescribed filing date without unreasonable effort or expense because the Company needs additional time to complete certain reviews and analyses that could have an impact on its financial statements and related disclosures to be included in the Annual Report.  
 
Additionally, the Company terminated the services of Larry Harris as President of the Company on June 28, 2011 (and as a director and officer of the Company's subsidiary Venture Industries, Inc.), as will be more fully described in a subsequently filed Form 8-K. 
 
The Company expects to file the Annual Report on or before July 14, 2011

Attachment to Form 12b-25
by VGTel, Inc.
 

The Registrant completed a share exchange transaction with the former shareholders of Venture Industries, Inc. (“VII”) on March 30, 2011, as a result of which VII became a wholly-owned subsidiary of the Registrant.  The share exchange transaction was accounted for as a reverse acquisition in which VII was the accounting acquirer of the Registrant and, consequently, VII’s financial results will be reported in the Registrant’s filings with the Securities and Exchange Commission.
 
The Registrant currently anticipates that the Annual Report will reflect a net loss of approximately $(702,000) for the period from December 7, 2010 (commencement of operations) to March 31, 2011.
