Item 2.02 Results of Operations and Financial Condition.
 
On May 12, 2008, ADDvantage Technologies Group, Inc. (the "Company") issued a press release announcing its financial results for its second quarter of fiscal 2008 that ended March 31, 2008. A copy of the press release is furnished as Exhibit 99.1 to this Current Report and is incorporated herein by reference.
