Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Effective May 29, 2014, Mr. David A Perdue began a leave of absence from the Board of Directors of Graphic Packaging Holding Company (the “Company”) due to his continuing participation in the race for the United States Senate seat in Georgia.  During Mr. Perdue’s leave of absence, he will not receive information from the Company, will not attend any Board or Committee meetings and will not receive any compensation from the Company.
