Item 8.01 Other Events
On March 10, 2014, Waterstone Financial, Inc. (the "Company") received the non-objection from the Board of Governors of the Federal Reserve System for the employee stock ownership plan of the Company's wholly-owned subsidiary, WaterStone Bank SSB, to purchase up to 2,024,000 shares of the Company's common stock in the open market. The timing of the purchases will depend on numerous factors, including but not limited to, market conditions and prices.
