(1) | Mr Griffith was issued 750,000 shares of common stock (the Shares) in conjunction with the merger (Merger) consummated between Left Right Marketing Technology, Inc., a Delaware Corporation, and Strategic Gaming Investments, Inc., a Nevada corporation (SGI), on April 18, 2006. The Shares were issued as an exchange, whereby Mr. Griffith exchanged 100% of his common stock holdings in SGI for the Shares. The exchange was valued at $750, which equates to the par value of the common stock of Left Right Marketing Technology, Inc., or $0,001 times the number of shares issued in the exchange. Upon the close of the Merger, Left Right Marketing Technology, Inc. amended its articles of incorporation to change its name to Strategic Gaming Investments, Inc. |
