Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
   
On May 9, 2017, Douglas E. Sharp, President of GP Strategies Corporation (the "Company"), informed the Board of Directors of the Company of his decision to retire from his position as President of the Company, effective May 9, 2019, the expiration of the two-year notice period required by his employment agreement.

Mr. Sharp will continue in his role as President while the Board determines a transition plan.
