(1) The option representing a right to purchase 25,000 shares, became exercisable in four equal annual installments beginning on October 28, 2010, whcih was the first anniversary of the date on which the option was granted.
(2) The option representing a right to purchase 20,000 shares became exercisable in four equal annual installments beginning on October 18, 2012, which was the first anniversary of the date on which the option was granted. Seventy-five percent (75%) of the option has become vested.
(3) The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from 23.40 to 24.00, inclusive. The reporting person undertakes to provide to Cambrex Corporation, any security holder of Cambrex Corporation, or the staff of the Securities and Exchange Commission,upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in this footnote #3 to this Form 4.
