On April 29, 2015, Boston Financial Holdings, Inc. (the “Company”) announced the following organizational changes at the Company and at Boston Private Bank & Trust Company, a wholly-owned subsidiary of the Company (the “Bank”).

• | David J. Kaye, Chief Financial and Administrative Officer of the Company has also been named Chief Financial Officer of the Bank. |

• | Jeremy F. Parker, currently Treasurer of the Bank, has also been named Treasurer of the Company. |
These changes are being made to further simplify and consolidate Holding Company and Bank reporting structures and best align the businesses and functions in support of future growth.
