Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 1, 2008, Thomas M. Boudreau, Executive Vice President, Law & Strategy, and General Counsel, of Express Scripts, Inc. (the “Company”) notified the Company that he intends to retire effective April 1, 2009.  Mr. Boudreau will remain Executive Vice President, Law & Strategy until his retirement.

Keith J. Ebling has been named as Executive Vice President and General Counsel for the Company, effective immediately.  Mr. Ebling had previously served in a number of roles with the Company, most recently as Vice President of Business Development.
