Item 8.01.   Other Events.
     On June 17, 2008, Visteon Corporation issued a press release announcing the expiration of its previously announced tender offer for up to $344 million of its 8.25 percent senior unsecured notes due August 2010 and the pricing of its concurrent private offering of up to $206.4 million in principal amount of new 12.25% senior unsecured notes due December 2016. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
