EXPLANATORY NOTE On February 5, 2003, the Board of Directors of Chicago Mercantile Exchange Holdings Inc. (the "Company") amended the Company's Amended and Restated Omnibus Stock Plan (the "Plan") to increase the number of shares of the Company's Class A common stock reserved under the Plan by 1,300,000 shares from 2,745,975 shares to 4,045,975 shares, along with other modifications to the Plan (the "Amendment"), subject to shareholder approval. The Company's shareholders approved the Amendment at the Annual Meeting of Shareholders on April 22, 2003. The Company is filing this Registration Statement on Form S-8 with the Securities and Exchange Commission (the "Commission") to register the additional shares of the Company's Class A common stock that may be issued under the Plan as a result of the above-described actions by the Company's Board of Directors and shareholders.
